Terms of Service

Welcome to PlatePrep ("we," "our," or "us"), a Culinary Intellectual Property Operating System. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

These Terms govern your access to and use of the PlatePrep Hospitality AI platform, including all associated modules — MenuSignal™, RecipeCore™, and all operational, financial, and guest intelligence tools (collectively, the "Service"). By registering for, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

PlatePrep Hospitality AI is currently being released in controlled phases to a select group of restaurant operators in the United States, Canada, and Europe. Access is by invitation only and is subject to availability.

We reserve the right to limit, restrict, or revoke access at any time to maintain onboarding quality, system precision, and operational integrity. An invitation code does not guarantee continued access if these Terms are violated.

To use the Service, you must register for an account using a valid invitation code. When you register, you agree to provide accurate, current, and complete information and to maintain the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or remain inactive for an extended period.

PlatePrep offers multiple subscription tiers — Starter, Basic, Pro, Business, and Enterprise. By selecting a subscription plan, you agree to pay all associated fees. Unless otherwise noted:

• Subscription fees are charged on a recurring basis according to the billing cycle you select (monthly or yearly)

• Subscriptions automatically renew unless canceled before the renewal date

• Upgrades take effect immediately with prorated charges; downgrades take effect at the next billing cycle

• Enterprise plans are subject to custom terms and dedicated agreements

• Refunds are provided according to our Refund Policy, incorporated into these Terms

All payments are processed through PCI-compliant payment processors. We accept major credit cards, debit cards, and select digital payment methods.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or industry standards

• Infringe on the intellectual property rights of others

• Transmit viruses, malware, or other harmful code

• Attempt to gain unauthorized access to any part of the Service or its infrastructure

• Interfere with or disrupt the integrity, performance, or availability of the Service

• Share invitation codes or account credentials with unauthorized parties

• Reverse engineer, decompile, or extract source code from the platform

• Use the Service for any purpose other than legitimate restaurant operations management

The Service — including its software, AI engines (MenuSignal™, RecipeCore™), algorithms, features, graphics, user interface, and documentation — is protected by copyright, trademark, patent, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for its intended purposes during your active subscription.

PlatePrep, MenuSignal™, RecipeCore™, and all related product names, logos, and brand identifiers are our trademarks or registered trademarks. Nothing in these Terms grants you the right to use our trademarks, logos, or distinctive brand features without our prior written consent.

We strive to maintain high availability of the PlatePrep platform. However, we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes.

Scheduled maintenance windows will be communicated in advance. Enterprise plan subscribers benefit from custom SLAs with specific uptime guarantees.

To the maximum extent permitted by law, PlatePrep shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of (or inability to access or use) the Service.

Our total liability for all claims related to the Service is limited to the greater of the amount you paid for the Service in the 12 months preceding the claim or $100.

We may terminate or suspend your access to the Service immediately, without prior notice, for material breach of these Terms. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive termination shall survive.

You may terminate your account at any time through your account settings or by contacting support@plateprep.com. Upon termination, you will have a 30-day window to export your data before it is permanently deleted.

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on our platform and by email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

If you do not agree with the updated Terms, you may terminate your account before the changes take effect.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable rules.
